Terms of Service

These Terms of Service ("Terms") govern your use of the OdooDrop Android application ("OdooDrop", "the app") and of the website at odoodrop.app ("the site"). OdooDrop is published by Jeroen, a sole trader based in Belgium ("we", "us"). By installing, using, or purchasing a subscription to OdooDrop, you agree to these Terms. If you do not agree, do not use OdooDrop.

1. The Service
OdooDrop is an Android application that lets you scan and upload documents from your phone to an Odoo ERP server that you or your organisation control. The app performs document capture, on-device OCR, and upload to your configured Odoo instance. The site at odoodrop.app is an informational website about the app.
We provide the app as a tool only. We are not affiliated with, endorsed by, or sponsored by Odoo S.A. "Odoo" is a trademark of Odoo S.A.; we use the name solely to describe interoperability.
2. Eligibility and Account
To use OdooDrop you must (i) be at least 16 years old, (ii) have the right to install apps on the device you are using, and (iii) have a valid Odoo instance to connect the app to, together with the authority to use that Odoo instance and upload documents to it.
OdooDrop itself does not require you to create an account with us. You authenticate against your own Odoo server using credentials you supply. You are responsible for keeping those credentials secure and for all activity performed through the app with your credentials.
3. Free Tier and OdooDrop Pro Subscription
OdooDrop is free to use when connected to an Odoo instance with three or fewer active internal users. For Odoo instances with more than three active internal users, a paid "OdooDrop Pro" subscription is required to continue syncing.
OdooDrop Pro is sold exclusively through Google Play. Pricing, billing currency, taxes, free trial periods, renewal, and refunds are handled by Google under the Google Play Terms of Service and Google Play's refund policies. You can manage or cancel your subscription at any time in your Google Play account settings.
We may change future subscription pricing and the user-count threshold at our discretion. Any such change will apply to new subscribers and to renewals at the next billing cycle, not retroactively. If we change the user-count threshold in a way that affects your existing tier, we will notify you in the app with reasonable notice.
If you do not maintain a valid OdooDrop Pro subscription while connected to an Odoo instance with more than three internal users, the app may block further syncs until you upgrade, downgrade, or reduce the user count.
4. Acceptable Use
You agree not to:
use OdooDrop to upload or process content that is unlawful, infringing, defamatory, or that you do not have the right to upload;
use OdooDrop to violate any applicable law, export-control regulation, or third-party right;
reverse engineer, decompile, disassemble, or attempt to extract the source code of the app, except to the extent this restriction is prohibited by applicable law;
circumvent the user-count check or any other licensing, security, or technical measure built into the app;
resell, sublicense, or redistribute the app or any OdooDrop Pro subscription, or use OdooDrop to build a competing product;
use the app to attack, overload, or disrupt any Odoo server, including servers not owned by you;
remove or alter any copyright, trademark, or other proprietary notice in the app or on the site.
You are solely responsible for the documents and other content you upload through the app and for complying with your own organisation's and your users' data-protection obligations regarding that content.
5. Licence
Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use OdooDrop on Android devices that you own or control, for your own or your organisation's internal business purposes.
All intellectual-property rights in and to OdooDrop, the site, and their respective content (including software, design, text, graphics and logos, excluding third-party trademarks) are and remain ours or our licensors'. No rights are granted to you other than the limited licence expressly set out above.
6. Third-Party Services
OdooDrop interacts with third-party services that are governed by their own terms, including:
Google Play and Google Play Billing (app distribution and subscription payments);
Google Play Services and Google ML Kit (document scanning and on-device OCR components);
the Odoo server you configure (controlled by you or your organisation);
Google Analytics 4 on the website odoodrop.app (used with your consent only).
We are not responsible for, and these Terms do not govern, the availability, content, pricing, or practices of those third-party services. Your use of them is subject to their respective terms and privacy policies.
7. Privacy
Our handling of personal data is described in our Privacy Policy at odoodrop.app/privacy. By using OdooDrop you acknowledge that you have read the Privacy Policy.
8. Warranty Disclaimer
To the maximum extent permitted by applicable law, OdooDrop and the site are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
We do not warrant that OdooDrop will be compatible with every version or configuration of Odoo, that uploads will always succeed, that OCR will be accurate, that the app will be free of bugs, or that any data stored locally by the app will be preserved against device loss, reset, or failure. You are responsible for maintaining appropriate backups.
Nothing in this section limits any warranty or consumer right that cannot be excluded or limited under applicable law (including, where applicable, mandatory rights of consumers in the European Union).
9. Limitation of Liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, business, data, or goodwill, arising out of or in connection with your use of OdooDrop or the site, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising out of or relating to OdooDrop or these Terms is limited to the greater of (i) the total amount you paid to Google for OdooDrop Pro in the twelve months preceding the event giving rise to liability, or (ii) EUR 50.
Nothing in these Terms excludes or limits our liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot lawfully be excluded or limited — including, where applicable, liability under mandatory consumer-protection law.
10. Termination
You may stop using OdooDrop at any time by uninstalling the app and, if applicable, cancelling your OdooDrop Pro subscription through Google Play.
We may suspend or terminate your right to use OdooDrop immediately if you materially breach these Terms or if we are required to do so by law. We may also discontinue OdooDrop, or any feature of it, at any time; where reasonable, we will provide advance notice.
Termination does not entitle you to a refund for any fees already paid to Google for OdooDrop Pro, except where required by law or by Google Play's refund policy. Sections 5 (intellectual property), 8 (warranty disclaimer), 9 (limitation of liability), 11 (governing law), and 12 (general) survive termination.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Belgium, without regard to its conflict-of-laws rules. The courts of Belgium have exclusive jurisdiction over any dispute arising out of or relating to these Terms or to OdooDrop, except that, if you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence and benefit from any mandatory consumer-protection provisions of the law of that country.
The European Commission provides an online dispute-resolution platform at https://ec.europa.eu/consumers/odr/ for consumers in the EU.
12. Changes to These Terms
We may update these Terms from time to time, for example to reflect new features, legal requirements, or changes to our service. When we do, we will update the "Last updated" date above. Material changes will be announced in the app or on odoodrop.app with reasonable advance notice. Your continued use of OdooDrop after the changes take effect constitutes your acceptance of the updated Terms.
13. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding OdooDrop and the site. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms do not create any agency, partnership, employment, or joint-venture relationship between you and us.
